1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Crimvex website, platform, and related services (the "Service") operated by Crimvex ("Crimvex," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Description of the Service

Crimvex is a platform for multi-tenant procurement and purchase order management. We facilitate organizations, suppliers, items, and POs. We provide the platform and tools for you to manage your procurement workflows.

3. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate and complete information and keep it up to date. One person or legal entity may not maintain more than one account for the same role without our permission.

You may register and create organizations. Some features may require additional verification or onboarding (e.g., writer application).

4. User Conduct

You agree not to:

  • Violate any applicable law or regulation.
  • Infringe the intellectual property or other rights of others.
  • Post false, misleading, or fraudulent job listings or profiles.
  • Harass, abuse, or harm other users or our staff.
  • Attempt to circumvent the platform (e.g., to avoid fees or move transactions off-platform in violation of our policies).
  • Use the Service for any illegal or unauthorized purpose.
  • Introduce malware, scrape data, or otherwise disrupt the Service.

We may suspend or terminate your account and access to the Service if we believe you have violated these Terms or our policies.

5. Projects, Contracts, and NDAs

When you enter into a project with another user, the scope, deliverables, payment, and confidentiality are governed by the contract and NDA you agree to on the platform (and any additional terms you agree to with the other party). You are responsible for reading and understanding those documents. Crimvex provides templates and tools to facilitate agreements but does not provide legal advice. For complex or high-stakes projects, we recommend consulting a lawyer. Both parties must comply with the agreed NDA and contract.

6. Payments and Fees

Payment terms for projects are agreed between you and the other user (e.g., per milestone, per hour, or fixed fee). Payments may be processed through the Service or through third-party payment providers. You are responsible for any taxes applicable to your transactions. Crimvex may charge platform or service fees as described on the Service or in separate fee schedules; such fees will be disclosed before you incur them. Refund and cancellation policies are as stated on the platform and in your contract with the other party.

We do not guarantee the availability of any specific payment method or the solvency of any user. Disputes about payment or deliverables should be resolved between the parties; we may provide dispute resolution tools but are not obligated to resolve them.

7. Intellectual Property and Content

You retain ownership of the content you create or upload (e.g., job descriptions, proposals, manuscript drafts). By using the Service, you grant Crimvex a limited license to use, store, display, and process that content as necessary to operate the Service (e.g., showing your profile to clients, storing messages and deliverables). Ownership of the final work product between client and writer is determined by the contract between them, not by Crimvex.

The Crimvex name, logo, and platform design are our intellectual property. You may not use them without our prior written consent.

8. Confidentiality

You must keep confidential any non-public information you receive through the Service (including project details, drafts, and communications) in accordance with the applicable NDA and contract. Crimvex will handle your data as described in our Privacy Policy and will not use your project content for advertising or AI training.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF USERS, THE QUALITY OF WORK PERFORMED, OR THE OUTCOME OF ANY PROJECT. YOU USE THE SERVICE AT YOUR OWN RISK. ANY RELIANCE ON INFORMATION OR CONNECTIONS MADE THROUGH THE SERVICE IS AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GHOST BOOKS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Crimvex and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content, your conduct, your breach of these Terms, or your agreements with other users.

12. Changes to the Service and Terms

We may modify the Service or these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such notice constitutes acceptance of the new Terms. If you do not agree, you must stop using the Service and may close your account.

13. General

These Terms, together with our Privacy Policy and any other policies we publish on the Service, constitute the entire agreement between you and Crimvex regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision does not waive that right or provision. You may not assign these Terms without our consent; we may assign them without restriction. These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Delaware, except where prohibited by law.
